The terms that govern your use of our website and our AI Employee services. Written to be read, not buried.

1. Agreement to These Terms
These Terms of Service (“Terms”) govern your use of the Dojo Labs website (dojolabs.co) and, together with your signed order or engagement summary, the AI Employee services we provide. By using the website or engaging our services, you agree to these Terms. If you are entering into an engagement on behalf of a company, you confirm you have the authority to bind that company.
2. Our Services
Dojo Labs designs, builds, deploys, and operates custom AI Employees: software systems built on your existing tools and accounts that handle defined, recurring work. Each engagement consists of a one-time setup (the build) and an ongoing monthly retainer (operations, monitoring, and tuning). The specific scope, tier, integrations, and deliverables for your engagement are defined on the relevant Employee page and in your engagement summary.
3. Payment Terms
- The setup fee is due before kickoff. Work does not begin until it is received.
- 50% of the setup fee is non-refundable once kickoff begins.
- The monthly retainer has a 3-month minimum, then auto-renews month-to-month.
- Either party may cancel the retainer with 30 days written notice after the minimum term.
- Founding pricing, where offered, is locked for 12 months from kickoff.
4. API and Compute Costs
Each tier includes a monthly API and LLM compute budget billed at cost. Usage above the tier cap is billed at cost plus a 10% administration fee. A hard kill-switch automatically pauses the Employee if API spend exceeds twice the tier cap in any rolling 30-day period, so you are never exposed to unbounded costs.
5. Ownership and Intellectual Property
- You own the Employee: the source code delivered to your repository, the prompts, and the integrations configured on your accounts.
- All third-party accounts and API keys are held in your name.
- Dojo Labs retains ownership of its reusable internal frameworks, tooling, and know-how used to build the Employee.
- The Employee keeps running on your infrastructure even if our engagement ends.
6. Scope and Changes
The scope of each engagement is defined by the tier you select. Changes to scope require written approval from both parties, and we will provide an estimate within 3 business days of a change request. Work outside the agreed scope, including new integrations and workflows after launch, is quoted separately as a change order.
7. Your Responsibilities
- Provide system access, sample materials, and decisions within the agreed timelines during the build.
- Review and approve customer-facing outputs before they go live, per the rules defined for your tier.
- Retain responsibility for legal and regulatory compliance applicable to your business, including CAN-SPAM, GDPR, and consumer-protection rules for any outbound communication or refund policy the Employee operates under your direction.
8. AI Disclosure
Our deliverables are produced with the assistance of AI systems, and the Employees we build are AI systems. Use of AI is disclosed in deliverables in line with current industry standards. AI outputs can contain errors; the autonomy level you select determines how much is reviewed by you before it takes effect.
9. Warranties and Disclaimers
We build and operate each Employee with reasonable skill and care, and we fix bugs in Dojo-built code at no charge during an active retainer. Except as expressly stated, the website and services are provided “as is” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, Dojo Labs’ total liability arising out of or related to an engagement is capped at the fees you paid us in the 3 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages, including lost profits or lost data.
11. Termination
Either party may terminate for material breach if the breach is not cured within 15 days of written notice. On termination, you keep everything you own under Section 5, we invoice for work performed up to the termination date, and any prepaid retainer covering periods after termination is refunded pro rata, subject to the 3-month minimum.
12. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Wyoming.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last Updated” date, and changes to an active engagement's commercial terms require written agreement from both parties.
